This client is an American software company distributing its products in the EMEA region by means of a French subsidiary and a German subsidiary. As part of a divestment of a product family representing 15% of revenue, the group decided to call on the services of a Change Manager to transform its Human Resources Department.

The software products concerned by the sale were aimed at a niche market, and had been developed as a sideline activity by a recently purchased company. But this inherited software activity did not really correspond to the clear market positioning that the group wanted to carve out for itself.

Although generating just 3% of group revenue, the niche software accounted for 15% of EMEA revenue, and the envisaged disposal of the activity would have immediate repercussions for employees of the French and German subsidiaries.

This is the background to which the client’s Area Management people decided to call on the services of a Change Manager to ensure complete compliance of its HR processes with legislation. The missions entrusted to the Change Manager were as follows:

Prepare an overview of the HR processes applied within the French and German subsidiaries;
Prepare a “HR” timeline detailing legal obligations, deadlines to be respected and templates of associated documents;
Prepare HR processes and manage their deployment within 6 agencies based in France.

Storyboard:

The first 2 weeks of our intervention took place in San Francisco to give the Change Manager an opportunity to become familiar with the group’s history and culture, as well as with the HR processes and practices of the head office.

The second phase of the intervention took place mainly in Paris, as well as inside the group’s agencies in France. To begin, the Change Manager prepared an overview of the HR function, and then prepared a document describing the target processes for the European subsidiaries. In doing so, our expert drew on the group’s social performance reporting in order to base information feedback on the same format.

The challenge of this mission was twofold: provide reassurance by guaranteeing compliance of these HR processes with the social agenda, while simultaneously facilitating the operational aspects by setting up the corresponding template documents.

In 5 months, the intervention of the Change Manager led to a complete overhaul of the Human Resources Management for the EMEA region. And, apart from the Compliance/Human Resources hub, the mission also increased the reliability of information produced, boosted operational efficiency thanks to standardized documents, and harmonized reporting with the group format.

Notre client est un groupe américain, éditeur de logiciel distribuant ses produits sur la zone EMEA au travers d’une filiale Française et d’une filiale Allemande. Dans le cadre de la cession d’une famille de produit représentant 15% de son CA, le groupe a recours aux services d’un manager de transition pour repenser sa Direction des Ressources Humaines.

Les produits cédés adressent un marché de niche, et sont développés à la marge des activités d’une entité récemment acquise. De fait, ces progiciels sont un héritage qui ne correspond pas au positionnement clair souhaité par le groupe.

Ne représentant que 3% du CA du groupe, ils pèsent pour autant 15% de la zone EMEA et cette cession aura des répercussions immédiates pour les effectifs des filiales Francaise et Allemande.

C’est dans ce contexte que le management de l’area décide d’avoir recours aux services d’un manager de transition pour s’assurer de la bonne conformité de ses process RH avec la législation, en lui confiant notamment :

La réalisation d’un état des lieux des process RH appliqués au sein des filiales Allemande et Française
La mise en place d’un calendrier « RH » incluant les obligations légales, les échéances à respecter et les modèles de documents associés
La rédaction des processus RH et leurs déploiement au sein des 6 agences basées en France

Les deux premières semaines d’intervention sont effectuées à San Francisco afin que le manager s’imprègne de l’histoire et de la culture du groupe, et prenne connaissance des usages et processus RH du siège.

La deuxième phase de la mission se déroulera principalement à Paris et au sein des agences en France. Le manager de transition va tout d’abord procéder à un état des lieux de la fonction RH puis rédiger les process cibles des filiales européennes.

Pour ce faire, il s’inspire du reporting social du groupe afin de calquer les remontés d’informations sur le même format.

L’enjeu de la mission est double, rassurer en garantissant la conformité des process avec l’agenda social, tout en facilitant le volet opérationnel par la mise en place des documents types correspondant.

En 5 mois, le recours au manager de transition a permis une remise à plat du fonctionnement la direction des ressources humaines de la zone EMEA. Au-delà du socle Compliance/Ressources Humaines, la mission a permis de fiabiliser les informations produites, de gagner en efficience au plan opérationnel via les documents types et d’harmoniser le reporting au format du groupe.

“Our client is a French group, operating in the metallurgy sector. In the context of a merger of a number of entities, the group uses the services of a transition manager to rethink the organisation of its supply chain…”

Manufacturing its products on demand, this manufacturer places the supply chain at the heart of its organisation. This just-in-time approach to operations, combined with site locations distributed over three continents and eight countries, drives the company to optimise its supply chain function.

In parallel with this project, a merger of several entities has convinced the group to call upon the services of a transition manager, to provide:

Responsibility for the organisation, scheduling and optimisation of physical and administrative flows, in accordance with the rules specified in the flow designs
The organisation and co-ordination of the different logistics services in each country
Co-ordination, with the support of the Quality, Manufacturing and Purchasing departments, establishment and management of sub-contracting flows, in order to provide optimum client service at optimum cost
Organisation, implementation and management of flows in products and semi-finished purchased products for conversion/resale.

All of which, while ensuring responsibility of the supply-chain and the link with its reorganisation.

Story-board:

The first intervention month took place at the various international sites, so that the manager could become immersed in the specific characteristics of each of them, and understand the specific requirements of each market and client expectations. This immersion phase enables the transition manager to understand the management of existing flows.

The second phase of the assignment will enable the transition manager to implement an inventory of the supply chain as well as their relations with the Quality, Manufacturing and Purchasing departments.

In order to achieve this, the model is taken from the audits previously carried out at the different sites by an external body, comparing them with their own individual observations.

The issues for the assignment are threefold: the manager must assume responsibility for the role, must optimise it, while preparing it for transformation, associated with the internal merger.

In 6 months, the use of a transition manager has enabled the enhanced reliability and optimisation of the role, while meshing its external perspective and the company’s practices: the transformation has thereby been significantly facilitated, the evolution of processes having been anticipated.

« Notre client est un groupe français, intervenant dans le secteur de la métallurgie. Dans le cadre d’une fusion de plusieurs entités, le groupe a recours aux services d’un manager de transition pour repenser l’organisation de sa Supply Chain… »

En fabriquant ses produits à la demande, cet industriel place la Supply Chain au cœur de son organisation. Ce fonctionnement en flux tendu associé à une implantation des sites industriels répartis sur trois continents et huit pays, motive l’entreprise à optimiser sa fonction Supply Chain.

Parallèlement à ce projet, une fusion de plusieurs entités convainc le management du groupe d’avoir recours aux services d’un manager de transition pour assurer :

La responsabilité de l’organisation, de la planification et de l’optimisation des flux physiques et administratifs, selon les règles définies dans les designs de flux
L’organisation et la coordination des différents services logistiques de chaque pays
La coordination, avec le support des directions Qualité, Industrielles et Achats, la mise en place et le pilotage des flux de sous-traitance, afin d’assurer le meilleur service client aux meilleurs coûts
L’organisation, la mise en œuvre et le pilotage les flux des produits et semi-produits achetés pour être transformés ou revendus.

Le tout en assurant la responsabilité de la supply-chain et le lien avec sa réorganisation.

Le premier mois d’intervention se déroule sur les différents sites internationaux afin que le manager s’imprègne des particularités de chacun d’entre eux, et comprenne les exigences spécifiques de chaque marché et des attentes clients. Cette phase d’immersion permet au manager de transition d’appréhender la gestion des flux existants.

La deuxième phase de la mission permettra au manager de transition de procéder à un état des lieux de la fonction Supply Chain ainsi que de ses relations avec les directions Qualité, Industrielles et Achats.

Pour ce faire, il s’inspire des audits réalisés préalablement sur les différents sites par un organisme externe en les confrontant à ses propres observations.

L’enjeu de la mission est triple : le manager doit assurer la responsabilité de la fonction, l’optimiser, tout en la préparant à la transformation liée à la fusion interne.

En 6 mois, le recours au manager de transition a permis de fiabiliser et optimiser la fonction en croisant son regard externe et les pratiques de la société : la transformation s’en est trouvée grandement facilitée, l’évolution des process ayant été anticipée.

“The launch of a new commercial brand and the creation of an economic and corporate unit are the starting points for the regrouping of these two players in the aeronautics sector. The centralisation of the support functions is one of the components of the 5-year strategic plan, whose upstream phase incorporates harmonisation of the collective statutes of the two entities…”

Our client is an international French group in the aeronautics sector, launching a new service product line in response to changes in their original market. They are deploying an ambitious project by regrouping two entities under new, single brand.

The positioning of the integrated structures provides significant commercial synergies, which the group will combine with an accelerated integration plan. This initiative in particular provides for the re-grouping of support functions at the head office of the holding structure recently created, as well as an agreement for making staff available between the companies.

The prelude to this transfer is the construction of the project for the harmonisation of the statutes, essentially governed by company agreements.

Centrally, the group does not have the capacity to allocate a resource dedicated to running this project, and has decided to call upon the services of IMT Partners to provide it with a transition manager.

Story-board:

This sensitive subject is above all contingent upon adherence to statutory deadlines. A 16 month intervention was therefore decided upon in order to see this project through to its conclusion. On arrival, the manager focused on the background, devoting 10 days to researching the content of existing agreements. This fact-finding process will be redoubled by numerous visits to the two sites involved, for an immersion in the detail of current practices, and so that they can quickly become known to the key points of contact.

It will then be a question of constructing the plan for the harmonisation of collective status agreements and to action the associated HR/corporate/employee welfare strand.

Based on their expertise in devising management methodologies (the transition manager has 10 years of consulting experience), they will run this complex project operationally, sometimes also assuming PMO responsibilities:

project administration, providing a convergence management schedule
negotiation of an agreement with staff representation bodies
negotiation and harmonisation of the overall welfare protection provision
establishment of an innovative plan supporting mobility
close co-ordination with HRMs at the merged entities
finalisation of agreements

For an overall total of 2000 employees, this assignment incorporates a significant change management support dimension. Alongside the manager responsible for the transformation and with the support of the internal communications manager, the transition manager will drive the corporate and staff welfare transformation.

« Le lancement d’une nouvelle marque commerciale et la création d’une unité économique et sociale sont les points de départ du regroupement de ces deux acteurs du secteur aéronautique. La centralisation des fonctions support est une des composantes du plan stratégique à 5 ans, dont la phase amont passe par une harmonisation des statuts collectifs des deux entités… »

Notre client est un groupe international français du secteur aéronautique, qui lance une nouvelle ligne de service en réponse aux mutations de son marché d’origine. Il déploie un projet ambitieux en regroupant deux entités sous une nouvelle marque unique.

Le positionnement des structures intégrées assure de fortes synergies commerciales, que le groupe va associer à un plan d’intégration accéléré. Cette démarche prévoit notamment le regroupement des fonctions support au siège de la holding récemment créée ainsi qu’un accord de mise à disposition de personnel entre les sociétés.

Le préambule à ce transfert est de construire le projet d’harmonisation des statuts essentiellement régis par les accords d’entreprise.

En central, le groupe n’a pas la capacité de détacher une ressource adaptée pour piloter le projet, et décide de recourir aux services d’IMT Partners pour lui présenter un manager de transition.

Story-board:

Ce sujet sensible est avant tout tributaire du respect des délais légaux. Une intervention de 16 mois est donc retenue pour mener le projet à son terme. Dès son arrivée le Manager se focalise sur l’historique, en consacrant 10 jours à la prise de connaissance du contenu des accords existants. Il va doubler cette prise d’information par de nombreux déplacements sur les deux sites concernés afin de s’imprégner des usages, et d’être rapidement identifié par les interlocuteurs clefs.

Il s’agira ensuite de construire le projet d’harmonisation des statuts collectifs et de conduire son volet RH/Social.

En s’appuyant sur sa capacité à proposer des méthodes de gestion (il bénéficie de 10 ans d’expérience en conseil), le manager de transition va gérer opérationnellement ce projet complexe, endossant parfois la casquette d’un PMO :

cadrage du projet en proposant un planning de gestion de la convergence
négociation d’un accord de méthode avec les IRP
négociation de et harmonisation de l’ensemble de la protection sociale
mise en place d’une démarche innovante favorisant la mobilité
coordination étroite avec les DRH des entités fusionnées
finalisation des accords

Pour un ensemble qui représente plus de 2000 salariés, la mission comporte une forte dimension accompagnement du changement. Aux côtés du Directeur en charge de la transformation et avec l’appui de la responsable communication interne, le manager de transition pilote la transformation sociale.

Durée : 16 Mois

“In the context of a regulatory upheaval, this organisation called upon the services of IMT Partners to provide it with support in the optimisation of the company’s purchasing and accounts. With the benefit of an external perspective of the organisation, the management board entrusted IMT Partners with a project mission in order to create the accounts department …“

Our client is a joint institution and its decision to create an accounts department function involved a presentation to the management board and then a vote in a second session. With an awareness of how we work, based on the practice’s record of success, our client lost no time in contacting IMT Partners so that they could be in a position to take rapid action in the event of a favourable outcome.

Given the nature of the project, the company had two strategic options: either to recruit a middle manager to create the role “personally”, or to call upon the services of an experienced profile so that it could structure the perimeter before recruiting the future post-holder. It was on seeing the profile submitted by IMT Partners that the group opted for this second solution.

Story-board:

The duration of the mission was difficult to ascertain, and the parties agreed together adopt a high level of flexibility with a number of escape routes factored in at various phases of the project.

A carte blanche approach would faciliter facilitate the running of the project, which would not then suffer from the usual types of reticence when applying changes to an existing organisational structure is involved.

Attached to the finance department, the manager had a wide autonomy and ran the project in accordance with an action plan devised in collaboration with the finance manager:

Compiling a technical specification issued in the form of a call for tenders to banks
Establishment of a new mapping of financial flows
Writing new group procedures
Internal communication of the project
Establishment of the IS and cash pooling
Recruitment of the treasurer
Training of key protagonists affected by the new processes
Integration and mentoring of the future post holder

The transition manager has developed a high level of sector specific expertise over his 20 years of experience. Above all, he has carried out two similar missions for investment funds . He will, in particular, be calling upon these successful missions in order to select the service providers in interaction and in order to federate the internal key protagonists on the project.

Our client will retain the “profitability” that stems from the establishment of its accounts role, a mission whose costs were very quickly “self-funded” by the savings it generated. Our manager, for his part, will take some satisfaction from a “completed” mission having adopted an end to end autonomous stance.

« Dans le contexte d’un bouleversement réglementaire, cet organisme paritaire a fait appel aux services d’IMT Partners pour l’accompagner dans l’optimisation des achats et la trésorerie de l’entreprise. Profitant de ce regard externe sur l’organisation, le comité de direction confie à IMT Partners une mission projet, afin de créer la direction de la trésorerie… »
Notre client est un organisme paritaire, sa décision de création d’une direction de la trésorerie, jusqu’alors inexistante, passera par une présentation au conseil d’administration puis par un vote en seconde séance. Connaissant le mode de fonctionnement au succès du cabinet, notre client n’attend pas pour solliciter IMT Partners afin d’être en position d’agir rapidement dans le cas d’une réponse favorable.

Face au projet, l’entreprise a deux options stratégiques : soit elle recrute un middle manager qui construira la fonction « à sa main », soit elle décide d’avoir recours au service d’un profil expérimenté afin qu’il structure le périmètre avant de procéder au recrutement du futur titulaire du poste. C’est en rencontrant le profil présenté par IMT Partners que le groupe va opter pour cette seconde solution.

La durée de la mission est difficile à déterminer, les parties conviennent ensemble d’une grande souplesse en prévoyant des portes de sorties à différentes phases du projet.

Partir d’une feuille blanche va faciliter le déroulement du projet, qui ne souffrira pas des réticences habituelles lorsqu’il s’agit de modifier une organisation existante.

Rattaché à la direction financière, le manager bénéficie d’une grande autonomie, et va conduire le projet en suivant un plan d’action établi avec le Directeur Financier :

Rédaction d’un cahier des charges transmis sous forme d’appel d’offre aux banques
Mise en place de la nouvelle cartographie des flux financiers
Ecriture des procédures groupe
Communication interne du projet
Mise en place du SI et du cash pooling

Le manager de transition a développé une forte expertise métier au cours des 20 années qui composent son expérience. Surtout, il a déjà réalisé deux missions similaires de création pour le compte de fonds d’investissement. Il s’appuiera notamment sur ces missions réussies pour sélectionner les prestataires en interaction et pour fédérer les interlocuteurs internes sur le projet.

Notre client retiendra la « rentabilité » qui découle de la mise en place de sa fonction trésorerie, une mission dont le coût aura été rapidement « autofinancé » par les économies générées. Notre manager y trouvera quant à lui la satisfaction d’une mission « complète » en ayant pris le sujet en autonomie et de bout en bout.
